These Terms and Conditions govern access to and use of the RET GAS 90902 software (the "Software" or the "Platform") offered as a SaaS (Software as a Service).

Note: Beaver Soluciones Digitales S.A.S. is the authorized distributor of the RET GAS 90902 software by its authors and copyright holders: Cristian David Chacón Mariano (ID 1.110.523.037) and Dariana Raquel Contreras Berbesi (ID 1.127.349.386), under a current Distribution Authorization Agreement.

2Definitions

Customer / Licensee

The legal entity that contracts access to the Software.

Authorized Users

Individuals enabled by the Customer to use the Software.

Administrator

User with management and configuration permissions.

Customer Content

Data, files and documents uploaded or generated by the Customer.

3Acceptance & Eligibility

Electronic acceptance (click-wrap). By creating an account, checking the acceptance box, contracting a plan, accessing or using the Software, the Customer fully accepts these Terms.

Legal validity. Electronic acceptance produces the same legal effects as a handwritten signature under Colombian Law 527 of 1999 (Electronic Commerce), Decree 1747 of 2000 (Digital Signatures) and the Colombian Civil Code.

Signed contracts for Enterprise. For Enterprise plans (≥ COP 3,000,000/month or requiring custom clauses), Beaver may additionally offer a bilateral signed contract. The signed contract shall prevail over these Terms strictly on commercial matters.

The Customer represents that it has legal capacity to contract, that the person accepting these Terms has sufficient authority to bind the entity they represent, and that its Authorized Users are duly authorized.

4Scope of Service (SaaS)

Beaver grants the Customer a limited, non-exclusive, non-transferable and revocable license to access and use the Software as SaaS during the term of the contracted plan.

The Software is provided via remote internet access. No right to permanent local installation, copy or distribution is granted. Functional scope depends on the contracted plan.

5Registration, Accounts & Security

The Customer is responsible for:

  • ✓ Accuracy and currency of account information
  • ✓ Credential confidentiality and access control
  • ✓ Notifying Beaver of unauthorized access

6Prohibited Uses

The following is prohibited:

  • ❌ Decompiling, disassembling or reverse engineering
  • ❌ Modifying, adapting or creating derivative works
  • ❌ Copying, distributing, sublicensing or reselling the Software
  • ❌ Accessing accounts or systems without authorization
  • ❌ Using for illegal purposes or uploading malware
  • ❌ Extracting data to build competing products or train models

7Customer Content

The Customer retains ownership of its Content. Beaver does not acquire ownership over Customer Content.

The Customer represents that it has the necessary rights and permissions to upload and process its Content.

Processing of personal data by Beaver is governed by our Privacy Policy and, where applicable, by the B2B Data Processing Agreement.

8Third-Party Integrations

The Software may integrate with third-party platforms (SICERCO, storage services, distributors, etc.). Beaver is not responsible for failures or restrictions imposed by third parties that affect the integration.

9Plans, Payments & Auto-Renewal

9.1. Current pricing and plans

The current catalog is published at /en/#pricing and /en/usos-y-limites. Billing is based on the volume of reports generated per month, not on the number of inspectors.

9.1bis. Annual vs monthly plan

  • Annual plan: equivalent to paying 10 months per year (2 months free). Includes initial implementation at no cost (reference value: COP 1,200,000). Annual commitment.
  • Monthly plan: recurring billing each cycle. Initial implementation may be billed separately per current pricing.

9.2. 14-day free trial

When the self-serve flow becomes available, Beaver may offer a 14-day free trial with payment method captured at registration. At trial end, the first monthly fee is charged automatically unless the Customer cancels beforehand. Reminder via email at least 48 hours before billing. While self-serve is not available, contracting is done via assisted demo.

9.3. Payment processing

Payments are processed through Stripe Payments, a PCI-DSS Level 1 certified platform. Beaver does not store complete card information, only a tokenized identifier.

Enabled methods: credit and debit cards (Visa, MasterCard, American Express) and PSE for bank transfers in Colombia.

9.4. Billing cycle and auto-charge

  • Monthly or annual cycle depending on the contracted plan.
  • Automatic charge against the registered payment method.
  • Automatic renewal at the end of each cycle, unless cancelled from the Customer Portal.
  • DIAN electronic invoicing under Resolution 000042 of 2020. To issue formal invoices, the Customer must register their RUT (tax ID) in "Tax Settings"; without RUT, an equivalent document is issued.

9.5. Retries and suspension for non-payment

If a charge fails:

  1. Automatic retries at 24, 72 and 168 hours (7 days).
  2. Email notification to the Customer on each retry.
  3. Service suspension after 7 days without payment.
  4. Termination after 30 days from suspension.

9.6. Cancellation by the Customer

The Customer may cancel at any time from the Customer Portal. Cancellation takes effect at the end of the billed period; no prorated refunds are issued.

9.7. Overages and automatic upgrade

  • Overage rate: 1.3× the base per-report rate of the current plan (Basic: COP 2,730/report; Pro: COP 1,560/report).
  • Tolerance: up to +20% without suspension, with notification at 80% and 100% of quota consumption.
  • Automatic upgrade after 2 consecutive months in overage, with 7-day notice.
  • For Enterprise plans, overage policy is defined in the specific commercial agreement.

9.8. Price adjustments (CPI and additional factors)

Prices may be adjusted annually based on the Colombian Consumer Price Index (IPC) of the previous year, published by DANE.

Additionally, Beaver may adjust prices due to: (i) legal or regulatory changes, (ii) cloud service costs, (iii) software licensing costs.

Any adjustment will be notified by email at least 30 days in advance. The Customer may cancel within that period if they do not accept the adjustment.

9.9. Taxes and refunds

Published prices do not include VAT unless expressly stated. Applicable withholdings (income tax, ReteIVA, ReteICA) must be reported and supported by the Customer.

SaaS services are non-refundable once consumed. Exceptions: material failure attributable to Beaver or express legal mandate.

10Mandatory Service Activation

Once the first monthly payment is confirmed (or the trial expires), the Customer has 30 calendar days to start real operation of the Service (at least one real inspection recorded).

The monthly payment commitment arises from activation, regardless of actual use by the Customer. Training, configuration and availability of the Service are complete deliverables from Beaver; actual use is the Customer's responsibility.

Activation support:
  • Public documentation and video tutorials.
  • Assisted onboarding in Pro and Enterprise; standard via documentation + WhatsApp in Basic.
  • Annual plan: implementation included at no cost.
  • Up to 2 remote training sessions during the first 30 days.

After 60 days without activation, Beaver may schedule a review meeting and offer alternatives (plan adjustment, agreed freeze, or early termination). Billing is not waived.

11Support, Maintenance & Suspension

Support

Beaver may perform corrective, evolutionary or preventive maintenance. Uninterrupted availability is not guaranteed.

Suspension

Beaver may suspend access if the Customer breaches these Terms, in case of security risk, or due to legal obligations.

12Intellectual Property

The RET GAS 90902 software is a copyright-protected work, registered before the Colombian National Directorate of Copyright (DNDA):

The Software is protected by Colombian Law 23 of 1982, Andean Decision 351 of 1993 and other applicable regulations. The Customer does not acquire any ownership right over the Software. "RET GAS", "RET GAS 90902" and associated signs are property of Beaver Soluciones Digitales S.A.S.

13Warranties & Liability

The Service is provided "as is" and "as available". Beaver does not warrant that:

  • • The Service will be uninterrupted or error-free
  • • It will meet undisclosed specific requirements
  • • The results will eliminate or prevent regulatory sanctions

Beaver's total liability is limited to the amount paid in the last 3 months.

14Data & Jurisdiction

Data Protection: Processing is governed by our Privacy Policy.

Cookies: See our Cookies Policy.

Governing Law: These Terms are governed by the laws of Colombia.

Jurisdiction: Any dispute shall be submitted to the courts of Medellín/Itagüí, Antioquia.
